1. Introduction and Acceptance of Terms

1.1 Welcome

Welcome to AgentsBen! We specialize in cross-border procurement services that help global users purchase products from Chinese merchants. These Terms of Service ("Terms") govern your access to and use of our website, procurement platform, logistics tracking tools, and related services (collectively, the "Services").

1.2 Agreement to Terms

By accessing or using our Services (including submitting a procurement request or making a payment), you agree to be bound by these Terms and our Privacy Policy. If you disagree with any part of the Terms, you may not access or use the Services.

1.3 Eligibility

  • You must be at least 14 years old to use our Services. By agreeing to these Terms, you represent and warrant that you are at least 14 years of age.
  • If you use the Services on behalf of a business or organization, you represent and warrant that you have the authority to bind that entity to these Terms.

2. Account Registration and Security

2.1 Account Creation

  • You must provide accurate, current, and complete information (including valid contact details and shipping address) during registration.
  • You are responsible for maintaining the confidentiality of your account credentials (password, verification codes).
  • You agree to accept responsibility for all activities that occur under your account, including procurement orders and payment operations.

2.2 Third-Party Authentication (Google OAuth)

Sign In with Google:

  • You may create or access your account using Google OAuth. By doing so, you authorize us to access limited information from your Google account (email, full name, profile picture) solely for account verification and identity confirmation.
  • You can revoke this access at any time through your Google Account settings (under "Third-party apps with account access").

Your Responsibilities:

  • Ensure your Google account credentials remain secure. If your Google account is compromised, notify us immediately to freeze your AgentsBen account.
  • Revoking Google access will not delete your AgentsBen account, but you must set a password in your AgentsBen account settings to continue accessing your order history and pending requests.

Our Commitments:

  • We will only use your Google account data as described in our Privacy Policy and will not access your Google Drive, Gmail, or other Google services without explicit permission.
  • We implement industry-standard encryption (e.g., SSL/TLS) to protect your authentication data during transmission and storage.

2.3 Account Security

  • Use a strong password (minimum 8 characters, including letters, numbers, and special symbols) and avoid reusing passwords from other platforms.
  • Notify us immediately via Customer Service if you suspect unauthorized use of your account (e.g., unrecognized orders, password changes).
  • We reserve the right to temporarily disable any account for security reasons (e.g., multiple failed login attempts, suspicious payment activity) and will notify you via registered email.

3. Service Description (Cross-Border Procurement Focus)

3.1 Core Procurement Service

  • We act as an authorized procurement intermediary between you and Chinese merchants (including e-commerce platforms like Taobao, JD.com, and brand official stores).
  • Our Services include: product sourcing, price verification, order placement with merchants, quality inspection (optional), international shipping coordination, and customs declaration assistance.
  • We do not manufacture, stock, or directly sell products. All products are procured from third-party merchants, and their quality is subject to the merchant’s standards.

3.2 Standard Procurement Process

  1. Product Submission: You provide product links (from Chinese e-commerce platforms) or detailed specifications (model, size, color) via our platform.
  2. Quotation Confirmation: We verify the merchant’s stock, price, and shipping costs (domestic China), then send you a detailed quotation (including product cost, domestic shipping, service fee, and estimated international shipping).
  3. Order & Payment: You confirm the quotation and make full payment through our approved payment methods.
  4. Domestic Procurement: We place the order with the merchant, receive the product at our China warehouse, and conduct basic inspection (checking for damage, quantity, and consistency with specifications).
  5. International Shipping: We pack the product (with optional加固 for fragile items) and ship it via your selected logistics channel (e.g., DHL, EMS, Cainiao).
  6. Delivery & Tracking: We provide a tracking number for you to monitor the shipment. Delivery is completed when the carrier confirms receipt by you or your authorized recipient.

3.3 Service Limitations (Procurement-Specific)

  • Product availability is subject to the merchant's real-time stock. We will notify you within 24 hours if a product is out of stock and offer a refund or alternative recommendation.
  • Some products are restricted from international shipping, including but not limited to:
    • Items prohibited by Chinese export regulations (e.g., counterfeit goods, hazardous materials)
    • Items prohibited by your country's import regulations (e.g., certain electronics, food products)
    • Large or overweight items (over 30kg or exceeding 120cm in a single dimension)

  • Shipping times may be delayed due to customs clearance, weather, or carrier issues. We will provide updates but are not liable for delays caused by third-party carriers or customs.

4. User Responsibilities

4.1 Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Submit product links or requests for prohibited items (see Section 3.3 for restrictions).
  • Provide false information (e.g., fake shipping addresses, incorrect product specifications) that may lead to procurement errors or delivery failures.
  • Use automated tools (bots, scripts) to submit bulk procurement requests without prior written approval.
  • Dispute legitimate payments (e.g., chargebacks) after the product has been shipped, unless there is evidence of product damage or non-delivery.

4.2 Procurement & Import Responsibilities

You are solely responsible for:

  • Verifying that the ordered products comply with your country's import regulations (e.g., voltage standards, certification requirements like CE, FCC).
  • Obtaining necessary permits or licenses for restricted items (e.g., medical devices, batteries) before submitting a procurement request.
  • Confirming product details (size, color, compatibility) with us before payment—we are not liable for errors caused by incorrect user specifications.
  • Paying all import duties, taxes, and customs fees imposed by your country's authorities. We can provide commercial invoices for customs declaration but will not cover these costs.
  • Ensuring products do not fall under our Prohibited Items List.

⚠️ Important: Please carefully review our Prohibited Items List before placing any order. Orders containing prohibited items will be cancelled, and customers will be responsible for any losses incurred due to customs seizures or legal violations.

5. Pricing and Payment (Procurement-Specific)

5.1 Cost Composition

All quotations include the following components, clearly listed before your confirmation:

  • Product Cost: The exact price listed by the Chinese merchant (converted to your selected currency using the real-time exchange rate at the time of quotation).
  • Domestic China Shipping: The cost to ship the product from the merchant to our China warehouse.
  • Service Fee: 8% of the product cost.
  • International Shipping: Calculated based on product weight, dimensions, destination country, and selected logistics channel (e.g., DHL for 7-15 day delivery).

5.2 Payment Terms

  • All payments must be made through our approved methods: credit/debit cards (Visa, Mastercard), PayPal, or international bank transfers.
  • Quotations are valid for 48 hours. After expiration, prices may be updated to reflect changes in merchant pricing or exchange rates.
  • Partial payments are only accepted for orders exceeding $500 (USD)—a 50% deposit is required to confirm the order, with the remaining balance due before international shipping.

5.3 Additional Charges

No additional charges.

6. Shipping and Delivery

6.1 Delivery Terms

  • You must provide an accurate and complete shipping address (including postal code, contact phone number, and any necessary building/unit details). We are not liable for delivery failures caused by incorrect addresses.
  • For high-value items (over $1000 USD), the recipient may be required to show a valid ID (passport, national ID) upon delivery to confirm receipt.
  • We are not responsible for delays beyond our control, including:
    • Customs clearance delays (due to missing documents or inspection by authorities)
    • Carrier delays (weather, labor strikes, regional logistics disruptions)
    • Failed delivery attempts (recipient unavailable, address inaccessible)

6.2 Shipment Inspection & Claims

  • We inspect all products upon arrival at our China warehouse (checking for physical damage, quantity, and compliance with specifications). If damage is found, we will notify you within 24 hours and offer options (return to merchant for replacement, refund, or proceed with shipping with discount).
  • If the shipment is damaged or lost during international shipping, you must notify us within 7 days of the carrier’s "delivery failed" or "lost" notification. We will assist you in filing a claim with the carrier, but compensation is subject to the carrier’s terms (usually limited to $100 USD for standard shipping, unless additional insurance is purchased).

7. Returns and Refunds (Procurement-Specific)

7.1 Return Eligibility & Conditions

Returns are only accepted under the following circumstances:

  • Product Defects: The product is defective (e.g., non-functional, missing parts) and confirmed by our warehouse inspection or merchant verification.
  • Incorrect Product: The product received (at our warehouse) does not match the specifications you provided (e.g., wrong size, color, model).
  • Merchant Cancellation: The merchant cancels the order after you have paid, and no alternative product is available.

Returns are not accepted for:

  • Changes of mind (e.g., you no longer want the product after payment).
  • Product damage caused during international shipping (claim via carrier; see Section 6.3).
  • Products that do not meet your country’s import regulations (your responsibility per Section 4.2).

7.2 Return Process

  1. Request Submission: You submit a return request via your account (including photos of defects or incorrect products) within 7 days of our warehouse receiving the product (or 14 days of your receiving the product for direct-shipped items).
  2. Verification: We review the request and verify with the merchant (if needed) within 3 business days.
  3. Return Execution: If approved, we arrange for the product to be returned to the merchant (domestic China shipping cost covered by us).
  4. Refund Issuance: Once the merchant confirms receipt of the returned product and processes the refund, we will refund your full payment (including product cost, service fee, and domestic shipping) within 3-5 business days. International shipping costs are non-refundable unless the return is due to our error.

7.3 Refund Exceptions

  • If the product is returned to us due to failed delivery (e.g., incorrect address, recipient unavailable), we will deduct the international shipping cost and a $10 reprocessing fee before issuing a refund.
  • For customized products (e.g., engraved items, made-to-order clothing), returns are only accepted if the product has manufacturing defects—changes of mind are not eligible for refunds.

8. Intellectual Property

8.1 Our Property

  • All content on our platform (including logos, website design, procurement guides, and logistics templates) is the intellectual property of WURONG INTERNATIONAL E-COMMERCE CO., LIMITED. You may not reproduce, modify, or distribute this content without our written permission.
  • Our brand names ("AgentsBen") and trademarks are registered in Hong Kong and other jurisdictions. Unauthorized use of these marks may result in legal action.

8.2 User Content

  • You retain ownership of any content you submit (e.g., product requests, feedback, photos of received products).
  • By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute the content for service improvement (e.g., using feedback to optimize the quotation process) or marketing (e.g., featuring user photos of received products with your consent).
  • We may remove any user content that violates these Terms (e.g., false product reviews, prohibited item requests) without prior notice.

9. Limitation of Liability

9.1 Disclaimer

  • Our Services are provided "as is" without warranties of any kind, either express or implied (including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement of third-party rights).
  • We do not guarantee the quality, authenticity, or safety of products procured from third-party merchants. You acknowledge that product quality is the sole responsibility of the merchant.
  • We are not liable for indirect, incidental, consequential, or punitive damages, including but not limited to:
    • Loss of use of the product
    • Loss of profits or business opportunities
    • Costs incurred due to customs delays or product seizure

9.2 Liability Cap

Our total liability to you for any claim arising from or related to these Terms or the Services shall not exceed the total amount you paid for the specific procurement order in question. This limitation applies regardless of the type of claim (contract, tort, negligence, or otherwise).

10. Dispute Resolution

10.1 Governing Law

These Terms are governed by the laws of Hong Kong Special Administrative Region (HKSAR), without regard to its conflict of law principles.

10.2 Dispute Resolution Process

  1. Informal Resolution: Before initiating any legal action, you must first contact our Customer Service team to attempt to resolve the dispute. We will respond to your inquiry within 5 business days and work with you to find a mutually acceptable solution (e.g., refund, replacement, discount on future orders).
  2. Written Notice: If informal resolution fails, you must send a written notice of the dispute (including details of the claim, supporting evidence, and desired remedy) to our registered address (see Section 12). We will review the notice and provide a formal response within 10 business days.
  3. Mediation: If the dispute remains unresolved after 30 days of written notice, both parties agree to attempt mediation through the Hong Kong International Arbitration Centre (HKIAC) before pursuing litigation.
  4. Legal Proceedings: If mediation fails, any legal action must be filed in the courts of Hong Kong Special Administrative Region.

11. Changes to Terms

11.1 Modifications

  • We may modify these Terms from time to time to reflect changes in laws, regulations, or our service offerings (e.g., adding new payment methods, updating shipping channels).
  • Modified Terms will be posted on our website with a "Last Updated" date. They will take effect 14 days after posting, except for changes that address urgent legal or security issues (which take effect immediately).

11.2 Notification

  • We will notify you of material changes (e.g., adjustments to service fees, changes to return policies) via email to your registered account email address.
  • If you do not agree to the modified Terms, you may terminate your account and stop using the Services. Continued use of the Services after the effective date of the modified Terms constitutes your acceptance of the changes.
